By accessing or using the PAYMENTS BRIDGE LLC website, mobile application, or any related services (collectively, the “Service”), you (“you,” “your,” or “User”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, do not use the Service.

1. Nature of the Service
The Service provides software tools to assist users in inputting, organizing, and preparing tax-related data for submission to tax authorities. The service is not tax advice, legal advice, or accounting services.
We do not file taxes on your behalf, represent you before any tax authority, or guarantee the accuracy, completeness, or acceptance of any tax form prepared using the Service.

2. User Responsibilities
You are solely responsible for:

  • The accuracy and legality of all data you input
  • Reviewing all outputs before submission to any tax authority
  • Compliance with all applicable tax laws, deadlines, and filing requirements
  • Maintaining backups of your data

We are not liable for errors, omissions, penalties, interest, audits, or any consequences arising from your use of the Service.

We do not warrant that:

No warranties are made beyond those expressly stated.

5. Limitation of Liability

To the maximum extent permitted by law, in no event shall Payments, its officers, directors, employees, agents, or affiliates be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or tax refunds
  • Penalties, fines, or interest imposed by tax authorities

Even if advised of the possibility of such damages.

Our total liability to you for any claim arising from the Service shall not exceed the amount you paid us in the 12 months prior to the claim.

6. Indemnification

You agree to indemnify, defend, and hold harmless Payments and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of:

  • Your use of the Service
  • Your violation of these Terms
  • Your tax filings or data input
  • Your violation of any law or third-party rights

This indemnification obligation survives termination of your use of the Service.

7. User Data & Privacy

We collect and process personal data as described in our Privacy Policy.

We collect, store, and process personal and tax-related data you submit through the Service (including but not limited to: names, Social Security Numbers, income details, deductions, financial accounts, and tax forms). This data is used solely to:

  • Generate and prepare your tax documents
  • Provide the functionality of the Service
  • Improve our software and prevent errors
  • Comply with legal and tax authority requirements (if applicable)

Security & Confidentiality

  • Access is restricted to authorized personnel only
  • We do not use your tax data for marketing, advertising, or profiling
  • You may request a copy or deletion of your data at any time via [email protected]

You grant us a worldwide, royalty-free, irrevocable license to use, store, process, and transmit your submitted data only as necessary to deliver the Service and comply with legal obligations.

8. Intellectual Property

All content, software, trademarks, and technology in the Service are owned by Payments or its licensors. You may not:

  • Copy, modify, or reverse-engineer the Service
  • Remove any copyright or proprietary notices
  • Use the Service for commercial resale without written consent

Your use of the Service does not grant you any ownership rights in its intellectual property.

9. Termination

We may suspend or terminate your access immediately, without notice, if you:

  • Violate these Terms
  • Use the Service unlawfully
  • Pose a security risk

Upon termination, your data may be deleted without recovery.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of Delaware, USA. Any dispute must be resolved exclusively through binding arbitration on an individual basis (no class actions) under the rules of the applicable arbitration body. You waive the right to a jury trial and class action participation.

11. Force Majeure

We are not liable for delays or failures caused by events beyond our control, including but not limited to:

  • Acts of God
  • Government actions
  • Internet outages
  • Tax law changes

Such events excuse performance for the duration of the force majeure condition.

12. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance.
